Terms and Conditions

Website terms of sale that govern orders placed with Cadisch Precision Meshes Limited.

United Kingdom

All orders and contracts for the sale of goods are accepted by Cadisch Precision Meshes Limited on these terms and conditions, which supersede any previously published terms in this or any previous website, catalogue or elsewhere.

Offers and acceptance

No obligations shall arise as a result of a website, catalogue entry, quotation or any other offer until the Company accepts an order from the person, company or other organisation with whom the sale or supply of products is conducted ("the Purchaser").In the event of any inconsistency between the Company's and Purchaser's terms and conditions, the Company's terms and conditions of sale shall prevail unless, and until, variation by express agreement is accepted in writing by both parties.

Orders

Where possible, orders should be made using the Company's order codes and order form. Please make a note of your customer number and/or account number and quote them on all orders. Products are supplied as shown in the Company's latest catalogue, unless the product has been superseded. Telephone orders will only be accepted on account when a purchase order number is given. Confirmation orders are not required, but if sent they must be marked "Confirmation Only." Failure to mark written confirmation orders could result in duplicated deliveries, and in such cases the Purchaser will be liable for the full purchase price, or alternatively subject to the Company's returns procedure.

Prices and delivery for items covered by schedule orders must be made in writing and are strictly in accordance with the terms quoted by the Company and accepted by the Purchaser. Any variation in delivery requirements may be subject to price alteration. The Purchaser will be liable for any stock held against an order at the end of the contract period.

Website orders

You will be sent an email acknowledging your order. If, during processing, we discover for any unforeseen reason that we cannot complete the order, we will cancel it and email you explaining why (for instance a stock shortage, inability to obtain payment, or a pricing or product description fault). Your order is accepted and the contract between us concluded when the product you ordered is despatched. You may cancel your contract with us for the goods you order at any time up to seven working days from the date you receive them, with no need to give a reason and no penalty. To cancel, you must put this in writing to us within seven days. If you receive an item you did not order, please notify us as soon as possible.

Prices

The Company reserves the right to alter prices at any time, without prior notice. In general, prices are reviewed every six months, at which point some prices may change. The price charged for all goods will normally be that ruling at the date of acceptance of the order. All prices are subject to VAT at the relevant rate ruling on the date of despatch.

Carriage

All orders within the UK (Highlands & Islands subject to quote) are subject to carriage of £13.00 on orders up to 20kg. Orders over 20kg will be quoted. All other consignments are subject to quotation.

Payment

a)Terms of payment are strictly cash with order, or credit/debit card payment, unless a credit account has been established with the Company.

b) Where a credit account has been established, payment must be made within thirty days of each delivery, whether the goods delivered are the whole order or only part shipment.

c) The Company reserves the right to suspend deliveries where payment is not received in accordance with (b), or with any alternative arrangement agreed in writing. In such cases, the Company reserves the right to charge interest on the unpaid amount from thirty days after the invoice date, at a rate of 4% above the current London Inter-Bank Borrowing Rate (LIBOR) per annum.

Back orders

Any subsequent deliveries to complete an order will be dispatched as soon as the item becomes available. Charges are only made when goods are dispatched. The Company reserves the right to cancel any outstanding items in the event of unforeseen circumstances.

Order cancellation

Cancellation of a Purchaser's order can only be accepted after prior negotiation and agreement, and in any case within seven days of dispatch. Cancellation cannot be accepted for non-standard product items ordered specially on the Purchaser's behalf. In the case of any default, the Purchaser shall compensate the Company for any partly finished products, stock or materials, and tools held for the manufacture or supply of such goods.

If the Company agrees to accept cancellation, part cancellation or return of a special order for a non-standard product, a charge of up to 50% of order value will be made, subject to a minimum charge of £15.00. The Company also reserves the right to impose a back-billing charge for part cancellation where the reduction in quantity affects the unit price.

Delivery discrepancies and returns

Any queries regarding non-delivery should be made in writing to the Company within seven days of the date of dispatch, quoting all relevant details, otherwise the Company cannot accept liability.

No goods may be returned to the Company, for whatever reason, without prior written consent, unless they were sent in error or received in damaged or faulty condition (see "Warranty" below for the correct procedure).

Where the Company, at its discretion (unless the Consumer Protection (Distance Selling) Regulations 2000 apply), agrees to accept the return of unwanted products for credit, the goods must be returned with the Company's written agreement within seven days of delivery, unopened and in perfect re-saleable condition. Please allow up to ten working days for your goods to reach our warehouse. Beyond the return window, you will be deemed to have accepted the goods, so please check them promptly on receipt.

Returned goods must be accompanied by a copy of the original advice note or invoice. If this has been lost, please enclose a note including: order number, name, address, contact telephone number, return reason, and details of the refund or replacement required — returns will not be accepted without this information. Damage to manufacturer's packaging, or damage caused by inadequate packaging, may result in the return being rejected or an additional restocking fee being applied at the Company's sole discretion. The Company cannot accept liability for packages damaged in return transit; it is the customer's responsibility to package the product adequately, and we strongly advise sending returns by Recorded Delivery, Registered Post or courier, insured for their full value. Proof of postage is not proof of delivery.

On receipt of a returned product, we will test it to identify the reported fault. If the product is found to be in good working order without defect, the carriage costs of the return will be the customer's responsibility; if a replacement has already been provided ahead of testing, you will be liable for that product too. We will confirm receipt and aim to process a refund or replacement as quickly as possible — please allow up to fourteen days from receipt of the return. Any charges or refunds due, whichever the outcome, will be credited back to the card or account used for the original order within thirty days.

Warranty

A refund of the purchase price may be given, or, where the Company is owed sums by the Purchaser, a credit note may be issued. Acceptance of liability is at the discretion of the Company.

All products should be returned at the Purchaser's risk, suitably packaged and carriage paid, within twelve months of dispatch, with an advice note stating the original invoice number and detailing the claimed defect.

Any modification or attempted repair to the product, for whatever reason, will invalidate the warranty. Any item added to the product by the Purchaser should be removed before return; the Company accepts no liability for attached or associated items returned under warranty, and while it will assume authorization to remove such attachments, it is not obliged to reconnect them before returning the product.

This warranty excludes, and no liability can be accepted for, consequential damage, loss or injury arising from defective products.

Risk and ownership

Responsibility for safekeeping passes to the Purchaser upon receipt of any goods; ownership does not pass until full payment is received by the Company.

Liability

The Company shall have no liability for damage, expense or consequential loss arising from failure or delay in delivery or performance of any obligation under any contract, due to any cause within or outside the Company's control — including but not limited to Act of God, fire, flood, war, civil disturbance, riots, Act of Government, industrial disputes, or failure by any subcontractor.

The Company takes every care to provide correct technical and other information. However, no liability can be accepted for expenses or consequential loss arising from a failure to provide information, or from any statement made by the Company's agents or representatives as to a product's specification or suitability for a defined purpose, unless that information is confirmed in writing.

Lien

The Company shall have a general lien in respect of all sums due from the Purchaser upon all goods to be supplied, or upon which work has been done on the Purchaser's behalf, and, twenty-eight days from written notice to the Purchaser, may sell such goods and apply the proceeds toward satisfaction of the sum due.

Patents and copyright

Products offered for sale by the Company may be the subject of patents or other such protectable devices. The Company maintains full copyright in respect of the catalogue, and its whole or partial reproduction without the Company's consent is prohibited.

Illustrations, specification & product information

While every effort is made to maintain accuracy, no liability can be accepted by the Company for errors or omissions in technical information supplied. No illustration or specification should be taken to represent the manufacturer or source of origin.

The Company reserves the right, without prior notice, to discontinue or supersede any product as part of its continuous programme of product improvement. It is the Purchaser's responsibility to ensure that all products are suitable and fit for the purpose of their intended application.

Termination of contract

If the Purchaser commits any breach of these terms and conditions of business, or becomes insolvent, commits an act of bankruptcy, enters into any arrangement with creditors, or goes — or is put — into liquidation (other than solely for the purposes of reconstruction while solvent), or if a receiver is appointed over any part of the Purchaser's business, the Company may, without prejudice to any rights which may accrue, terminate the contract summarily by notice in writing.

Law

Any question relating to a contract subject to these terms and conditions, or agreed amendment to the same, shall be determined in accordance with English law.

VAT

UK Value Added Tax at the applicable rate is normally added to website, catalogue, quotation or proforma-invoice prices for all Purchasers resident in EC member states. Goods to EC Purchasers may be zero-rated, provided the Purchaser's VAT registration number is indicated on the sales invoice and held in the Purchaser's records (the Destination System). If the Purchaser is unregistered, VAT must be charged at the standard applicable rate (the Origin System).

To zero-rate goods supplied to UK addresses for onward shipment overseas — for example to freight forwarders — a "Proof of Shipment" certificate and other necessary evidence of shipment may be required. Goods exported to areas outside the EC, including the Channel Islands, are VAT zero-rated, provided the conditions of VAT Notice 703 apply.
